We are presently not in any merger negotiations

a restructuring, which could include taking Jotech private."
Save as mentioned in the Company's announcement
of its fourth quarter financial results on 28 February 2006, the Board would
like to clarify that the Company is not undergoing a restructuring which could
include taking Jotech Holdings Berhad private.
